Acceptance of Terms

By accessing or using the Rasa Collective website (rasa-collective.com) and its associated services, you confirm that you are at least 18 years of age, have read and understood these Terms & Conditions, and agree to be legally bound by them.

These Terms apply to all visitors, registered users, collectors, and artists who access or use our platform. Your continued use of the website constitutes your ongoing acceptance of any updates to these Terms.

Platform Use

Rasa Collective provides an online marketplace connecting collectors with curated South Asian artists. Our platform allows you to browse, discover, and purchase original artworks, as well as apply to become a represented artist or institutional partner.

You agree to use our platform only for lawful purposes and in accordance with these Terms. You must not use the platform in any way that:

• Violates any applicable local, national, or international law or regulation
• Is fraudulent, deceptive, or misleading in any way
• Infringes the intellectual property rights of Rasa Collective or any third party
• Involves sending unsolicited commercial communications (spam)
• Attempts to gain unauthorised access to any part of the platform or its systems
• Disrupts or interferes with the security, integrity, or availability of the platform

Accounts & Registration

To purchase artworks or access certain features of our platform, you must register for an account. When registering, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password confidential and not share it with any third party
• Notify us immediately of any unauthorised use of your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms, provide false information, or engage in any conduct that we determine, in our sole discretion, to be harmful to Rasa Collective, its artists, or its users.

You may not create more than one account without our express written permission. Accounts are personal and non-transferable.

Purchases & Payments

All prices displayed on our platform are in British Pounds Sterling (GBP) unless otherwise stated, and include VAT where applicable. We reserve the right to change prices at any time without notice, however changes will not affect orders already confirmed.

By placing an order, you represent that:

• You are authorised to use the payment method provided
• The payment details you provide are accurate and complete
• You are purchasing for personal, non-commercial use unless you have entered into a separate institutional agreement with us

Payment is processed securely via our third-party payment provider. We accept major credit and debit cards. Orders are confirmed only upon successful payment authorisation. We reserve the right to cancel any order and issue a full refund if we are unable to fulfil it for any reason, including stock unavailability or pricing errors.

All artworks are subject to availability. In the rare case that an artwork is sold to another buyer concurrently, we will notify you promptly and issue a full refund.

Shipping & Delivery

We ship artworks internationally using specialist art logistics providers. Estimated delivery times and shipping costs are displayed at checkout and vary by destination and artwork size.

• All artworks are professionally packed to museum-grade standards
• Tracking information is provided for all shipments
• Estimated delivery times are indicative and not guaranteed
• International orders may be subject to customs duties and import taxes, which are the responsibility of the buyer
• Risk of loss transfers to you upon handover to the shipping carrier
• We recommend purchasing shipping insurance for high-value works — please contact us if you require this

If your artwork arrives damaged, please photograph the packaging and the artwork immediately and contact us within 48 hours at contactus@rasa-collective.com. We will work with you to resolve the issue promptly.

Returns & Refunds

We want you to be completely satisfied with your purchase. If you are not happy with your artwork for any reason, you may return it within 14 days of delivery, provided it is in its original condition and packaging.

• To initiate a return, email contactus@rasa-collective.com within 14 days of delivery
• Return shipping costs are the responsibility of the buyer unless the artwork is faulty or incorrectly described
• Artworks must be returned in the original packaging and in the same condition as received
• Refunds are processed within 14 days of receiving the returned artwork and confirming its condition
• Custom-framed or commissioned works are non-refundable unless faulty
• Refunds are issued to the original payment method

Under the UK Consumer Contracts Regulations 2013, you have the right to cancel your order within 14 days of delivery without giving any reason. This right does not apply to bespoke or made-to-order artworks.

Artist Terms

Artists represented by Rasa Collective agree to the following terms in addition to those set out in their individual Artist Agreement:

• All artworks submitted for listing must be original works created solely by the artist
• Artists warrant that they hold all rights to the submitted works and that listing them does not infringe any third-party rights
• Artists grant Rasa Collective a non-exclusive licence to reproduce images of their work for marketing, promotional, and sales purposes on the platform and associated channels
• Revenue sharing is governed by the terms set out in each artist’s individual agreement — typically a percentage split between artist and gallery
• Artists must ensure all artwork descriptions, dimensions, and medium details are accurate
• Artists must notify Rasa Collective immediately if an artwork listed on our platform is sold through any other channel
• Rasa Collective reserves the right to decline or remove any artwork at its discretion

Rasa Collective is not responsible for any tax liabilities arising from artist sales. Artists are solely responsible for their own tax obligations in their jurisdiction.

Intellectual Property

All content on the Rasa Collective website — including but not limited to text, graphics, logos, icons, photographs, artwork images, user interfaces, and software — is the property of Rasa Collective or its content suppliers and is protected by applicable intellectual property laws.

You may not, without our express written permission:

• Reproduce, distribute, or republish any content from our platform
• Use any artwork images for commercial purposes
• Remove or alter any copyright, trademark, or other proprietary notices
• Frame or mirror any part of the website on another server or platform
• Use our trademarks, trade names, or branding without prior written consent

Purchasing an artwork grants you ownership of the physical work only. Copyright in the artwork remains with the artist unless explicitly transferred in a separate written agreement. You may display the artwork privately but may not reproduce it commercially.

Prohibited Conduct

The following activities are strictly prohibited on our platform:

• Creating fake accounts or impersonating any person or entity
• Attempting to circumvent our payment systems or defraud Rasa Collective or its artists
• Posting false, misleading, or defamatory content or reviews
• Contacting artists directly to arrange off-platform transactions, thereby circumventing our commission structure
• Using automated tools, bots, or scrapers to access or extract data from our platform
• Uploading malware, viruses, or any code designed to harm the platform or its users
• Engaging in any conduct that could damage the reputation of Rasa Collective or its represented artists

Violation of these prohibitions may result in immediate account suspension, legal action, or both. We reserve the right to report any unlawful activity to the appropriate authorities.

Disclaimers

Our platform is provided on an “as is” and “as available” basis. While we take great care to ensure the accuracy of all information on our platform, we make no warranties or representations, express or implied, including:

• That the platform will be uninterrupted, error-free, or free of viruses or other harmful components
• That the content is accurate, complete, or up to date at all times
• That the platform will meet your specific requirements or expectations

Artwork photographs are as accurate as photographic reproduction allows. Colours, textures, and dimensions may vary slightly from the images shown. All artworks are sold with a certificate of authenticity from the artist.

Any investment-related comments or discussions about artwork value are for informational purposes only and do not constitute financial advice. Past performance of artwork values is not indicative of future results.

Limitation of Liability

To the fullest extent permitted by applicable law, Rasa Collective and its directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the platform or purchase of artworks.

Our total liability to you in connection with any claim arising out of or relating to these Terms or your use of the platform shall not exceed the amount you paid to us in the 12 months preceding the claim.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable UK law.

Governing Law

These Terms & Conditions and any disputes arising from them are governed by and construed in accordance with the laws of New Jersey, United States. Both parties agree to submit to the exclusive jurisdiction of the courts of New Jersey, United States for the resolution of any dispute, except where applicable consumer protection laws provide you with additional rights in your country of residence.

If any provision of these Terms is found by a court to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

Changes to Terms

We reserve the right to modify these Terms & Conditions at any time. When we make material changes, we will update the “Last updated” date and, where appropriate, notify registered users by email or via a notice on the website.

Your continued use of the platform after any changes take effect constitutes your acceptance of the revised Terms. If you do not agree with the revised Terms, you should stop using the platform and may close your account by contacting us.
